1. Acceptance of Terms
By downloading, installing, or using the Truva mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). Truva is operated by Norva LLC ("Company," "we," "us," or "our"). If you do not agree to these Terms, do not use the App.
2. Description of Service
Truva is a mobile marketplace that connects homeowners and other customers seeking home repair and maintenance services ("Customers") with independent licensed tradespeople and service providers ("Service Providers"). Our initial launch focuses on plumbing services in Utah, with plans to expand to other trades and regions. We do not perform any repair or maintenance services ourselves. We facilitate the connection, bidding, communication, and payment between Customers and Service Providers, and provide identity, license, insurance, and background verification of Service Providers before they are activated on the platform.
3. Eligibility
You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you have the legal capacity to enter into a binding agreement and meet all eligibility requirements.
4. Account Registration
To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@truva.tech if you suspect unauthorized use of your account.
5. Service Providers
Service Providers on Truva are independent contractors, not employees or agents of Norva LLC. Service Providers are solely responsible for the quality, safety, and legality of the services they provide. Truva does not guarantee the quality of work performed by any Service Provider. Service Providers are responsible for maintaining all necessary licenses, certifications, and insurance required by applicable law throughout their time on the platform. Before activation on Truva, each Service Provider must submit their trade license, proof of liability insurance, and pass a background check. We verify plumbing licenses against the Utah Division of Occupational and Professional Licensing (DOPL) database. Truva may suspend or terminate any Service Provider whose credentials lapse, whose background check surfaces disqualifying findings, or who violates these Terms. Service Providers agree to the payment terms in Section 6, including the fact that Stripe (our payment processor) holds initial payouts on new accounts for approximately 7-14 days while verifying the account, after which payouts arrive within 2 business days of job completion.
6. Fees and Payments
Customers pay Service Providers through the App for services rendered. Service Providers set their own hourly rate, and the Customer-facing rate displayed in the App is the Service Provider's rate plus a 15% commission that Truva retains. In addition, Customers pay a flat $5 Truva convenience fee per job. Tips are voluntary and go 100% to the Service Provider — Truva takes no commission on tips. Example: A Service Provider sets their rate at $100/hour. Customers see $115/hour in the App. For a 2-hour job, the Customer is charged $230 for time worked plus a $5 Truva fee, for a total of $235. The Service Provider is paid $200 (their full rate times hours worked). Truva retains $35 ($30 in commission plus the $5 fee). Tips, if any, are added to the Service Provider's take. Truva may offer promotional pricing or modify its fee structure at any time with reasonable notice. All payments are processed through Stripe. Payment cards are securely tokenized by Stripe and are not stored by Truva. By using the App, you also agree to Stripe's terms of service.
7. Cancellations, Disputes, and Refunds
Customers may cancel a job before the Service Provider is dispatched at no charge. If a Customer cancels after the Service Provider is dispatched or en route, a reasonable trip fee may apply and will be paid to the Service Provider. If a Service Provider cancels or does not arrive as agreed, the Customer receives a full refund. Customers who believe work was not performed as agreed may raise a dispute by contacting support@truva.tech within seven (7) days of job completion. Truva mediates disputes in good faith based on evidence from both parties, including messages, photos, timestamps, and the original bid. Depending on the outcome, remedies may include a partial refund, full refund, or a return visit. Truva's decision after mediation is final for disputes handled through the App. Contact support@truva.tech for any payment disputes, refund requests, or cancellation questions.
8. User Conduct
You agree not to: - Use the App for any unlawful purpose - Harass, threaten, or intimidate other users - Provide false or misleading information - Interfere with the proper functioning of the App - Circumvent the App to arrange services or payments outside of Truva - Post or transmit any content that is defamatory, obscene, or otherwise objectionable - Attempt to gain unauthorized access to other user accounts or our systems
9. Content and Intellectual Property
All content, trademarks, logos, and intellectual property displayed on the App are owned by or licensed to Norva LLC. You may not copy, modify, distribute, or create derivative works from any content on the App without our prior written consent. By uploading content to the App (photos, reviews, profile information), you grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with the App.
10. Limitation of Liability
To the maximum extent permitted by law, Norva LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from: - Your use of or inability to use the App - Any services provided by Service Providers - Any conduct or content of any third party on the App - Unauthorized access, use, or alteration of your content Our total liability for any claims arising from or related to the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Norva LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of another party.
12. Disclaimer of Warranties
The App is provided on an "as-is" and "as-available" basis. We make no warranties, expressed or implied, regarding the App's reliability, availability, or fitness for a particular purpose. We do not warrant that the App will be uninterrupted, error-free, or secure.
13. Termination
We may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease. You may also delete your account at any time through the App settings.
14. Dispute Resolution and Arbitration
For any dispute you have with Truva that is not resolved through the App's in-App dispute process (Section 7), you and Truva agree to first attempt to resolve the dispute informally by contacting support@truva.tech. If the dispute is not resolved within 60 days of notice, either party may proceed to binding arbitration. Any such dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Salt Lake County, Utah, or another location mutually agreed by the parties. The arbitrator's decision shall be final and binding. You and Truva both agree to waive the right to a jury trial and to participate in a class action lawsuit or class-wide arbitration. Nothing in this Section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or by email. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah and applicable federal laws of the United States, without regard to conflict of law principles.
